Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of etrnl-energy.com and the thermal intelligence platform operated by e-TRNL Energy Private Limited ("the Company," "we," "us," or "our"), a company incorporated in India with its registered office at 12 Hosur Road, Electronic City Phase 1, Bengaluru, Karnataka 560100, India. By accessing or using the platform, you accept these Terms and agree to be bound by them. If you are accessing the platform on behalf of a company or engineering organisation, you represent that you are authorised to bind that organisation.

Nothing in these Terms limits any statutory rights you may have under the laws of India or your country of residence.

2. Description of the Service

e-TRNL Energy provides a thermal intelligence platform for battery pack engineering teams working on EV and two-wheeler applications. The platform accepts cell characterisation data, thermal measurements, and pack configuration parameters, and returns charge protocol recommendations, thermal fingerprints, and cycle life projections. During the current early-access phase, the Service is provided to engineering teams who have submitted a request and been approved by the Company.

The platform outputs are engineering recommendations based on submitted data and modelling assumptions. They are not a substitute for independent engineering judgment, safety testing, or compliance verification under applicable standards (including AIS-156, BIS requirements, or any applicable UN38.3 obligations for your specific pack design). Final design decisions and regulatory compliance remain the responsibility of the engineering team.

3. Use of the Service

• You must be a professional or a company representative with authority to access technical battery data for the purpose of using this platform.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to systems or data belonging to us or other users.
• You may not scrape, reverse-engineer, or copy any part of the Service except as permitted by applicable mandatory law.
• You agree not to submit data that you do not have the right to disclose, including proprietary third-party test data, without appropriate authorisation.
• During the early-access phase, access is limited to approved engineering teams. You may not share access credentials.

4. Intellectual Property

The Service, including the thermal modelling algorithms, charge optimisation engine, cycle life prediction models, and all underlying software, is owned by the Company or its licensors and is protected under Indian and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal engineering purposes during the term of your access.

Nothing in these Terms transfers ownership of any intellectual property to you. The Company name, marks, and domain name are the Company's property and may not be used without written permission.

5. Your Data and Submissions

You retain ownership of all technical data (cell characterisation datasets, thermal profiles, BMS configuration files, and related data) that you submit to the platform ("Your Data"). You grant the Company a limited licence to process Your Data solely to provide the Service and return results to you.

The Company will not share Your Data with third parties except as described in the Privacy Policy, and will not use Your Data to train generalised machine-learning models without your explicit written consent. You are responsible for ensuring you have the necessary rights to submit Your Data.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. During the current early-access phase, the platform is under active development. The Company disclaims all warranties to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and accuracy of model outputs. Mandatory warranties applicable under Indian consumer protection law are not excluded.

Platform outputs are engineering recommendations only. The Company is not liable for any decisions made by engineering teams on the basis of platform outputs, including pack design choices, BMS firmware parameters, or regulatory submissions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability to you for any claim arising from or related to the Service will not exceed the amount you paid for the Service in the twelve months preceding the claim, or INR 10,000, whichever is greater. This limitation does not apply to liability that cannot be excluded under mandatory Indian law.

8. Indemnification

You agree to indemnify and hold harmless e-TRNL Energy Private Limited and its founders, officers, and employees from any claims, losses, or expenses (including reasonable legal costs) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

9. Termination

We may suspend or terminate your access to the Service at any time for material breach of these Terms, or during the early-access phase, for operational reasons with reasonable notice. You may stop using the Service at any time. Upon termination, provisions that by their nature should survive (including intellectual property, limitation of liability, and indemnification) will continue to apply.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Disputes arising from or in connection with these Terms are subject to the non-exclusive jurisdiction of the competent courts in Bengaluru, India, without prejudice to any mandatory consumer-protection rights applicable in your country of residence. The parties agree to attempt to resolve disputes informally before commencing formal proceedings.

11. Changes and Contact

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
